Anderson Kill was retained in early December 2010 to represent Pyrander and its selling members. Anderson Kill helped to structure, negotiate and close the Purchase Agreement and collateral agreements, and analyzed and advised concerning U.S. tax issues.
Pyrander has several fund strategies including: Equity Growth, a long/short strategy, and Alpha Equity, a long-only strategy, as well as a number of separately managed accounts. Pyrander has been primarily owned and managed by Kurt Feuerman and Caxton Associates L.P. AllianceBernstein is a leading global investment management firm that offers high-quality research and diversified investment services to institutional investors, individuals and private clients in major world markets.
As part of the transaction, client Kurt Feuerman joined Alliance Bernstein’s equity investment-management team as Senior Vice President and Portfolio Manager, US Equities. Prior to joining Caxton in 1998, Kurt Feuerman was a Managing Director of Morgan Stanley & Co., where his responsibilities included managing Morgan Stanley Asset Management's US equity business, and was also previously a Managing Director of Drexel Burnham Lambert.
Anderson Kill represented its clients with a corporate team consisting of Costa N. Kensington, and Wendy Williamson, with tax advice from Phillip England and John Hess, with insurance advice from Charles Lee and assistance from other lawyers in its Employment and Business Law groups.
The sale transaction was successfully closed and funded on May 31, 2011.
