Christopher M. Armstrong, Transactional Tax Attorney, Joins Anderson Kill as a Shareholder

Anderson Kill today announced that Christopher Armstrong, a transactional tax attorney, has joined the firm as a shareholder in the New York office. He comes to Anderson Kill after eleven years with a global law firm, one of the ten largest in the United States.

Mr. Armstrong concentrates his practice on the federal and state tax aspects of business transactions, representing domestic equity investors, real estate developers, property owners, REITS, publicly traded companies and closely held businesses (and their owners) in mergers and acquisitions, joint ventures, corporate and partnership tax planning, and real estate tax planning, as well as business and estate planning. He advises clients on formation, operational and tax issues, including drafting organization documents, partnership and LLC agreements, joint venture agreements, shareholder agreements and buy-sell agreements. He also drafts firm-issued authority and enforceability opinions for structured finance transactions as well as tax opinions for 1031 exchanges, corporate reorganizations, split-offs, spin-offs and historic and new markets tax credit syndication transactions.

Mr. Armstrong represents real estate developers and property owners in the structuring, negotiation and documentation of complex joint venture, financing and partnership transactions. His also assists clients with structuring forward and reverse like-kind exchange transactions, advising on preferred equity financing transactions, organizing special purpose entities for securitized financing transactions, and advising clients on federal and state tax aspects of real estate projects.

Mr. Armstrong holds a J.D. Cum Laude from St. Thomas University School of Law, an LL.M. in Taxation from the University of Florida, Levin College of Law, and a B.A. from the University of Rhode Island.
